"Services" refers to branding, design, creative subscription services (e.g. Design Genie), project-based design engagements (e.g. Zero-to-Brand), and any related offerings.

Use of Website & Services

You must be at least 18 years old to use our website or purchase services.
You agree to provide accurate, complete, and current information during any inquiry, form submission, or onboarding process.
Misuse of the website, unethical activity, or attempts to disrupt service functionality may result in access termination.

Service Engagement & Project Term

3.1 Project Commencement

A project or subscription begins only after:

A formal agreement, proposal, or SOW is signed/accepted
The required advance payment or first billing cycle is made
Initial project inputs or brand materials are shared

3.2 Ownership of Work

Final deliverables become the client's property only after full payment.

All drafts, concepts, working files, and raw files remain the intellectual property of Studio Bauno unless explicitly purchased or agreed upon in writing.

3.3 Client Responsibilities

The client agrees to:

Provide timely feedback and required materials
Communicate clearly and promptly
Review and approve work within agreed timelines

Payments & Billing

4.1 Payment Terms

All payments must be made as per the invoice or subscription billing terms.
Advance payments and subscription fees are non-refundable unless specified in our Cancellation & Refund Policy.
Project work may pause or stop if payments are delayed.

4.2 Third-Party Costs

Costs such as hosting, domains, stock assets, plugins, or tools are not included in service fees unless explicitly mentioned.

5. Cancellations & Refunds

Cancellations and refunds follow our Cancellation & Refund Policy, which is part of these Terms.

Intellectual Property Rights

6.1 Company's Rights

All branding concepts, strategy frameworks, design drafts, and creative explorations remain the property of Studio Bauno unless full payment has been made and rights explicitly transferred.

We reserve the right to showcase completed work in our portfolio, marketing materials, or case studies unless a confidentiality agreement is signed.

6.2 Client's Rights

Clients gain usage rights to finalized and approved deliverables after full payment.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information, project data, and materials unless permission is granted in writing.

Limitation of Liability

Studio Bauno is not liable for:

Loss of revenue, profits, or data
Delays caused by external factors or client approvals
Third-party service failures (hosting, integrations, APIs, etc.)
Any outcomes dependent on business performance following delivery of design work

Our maximum liability is limited to the amount paid by the client for the specific service in question.

Third-Party Tools & Integrations

We may use third-party software, plugins, APIs, or tools as part of delivering our services.

We are not responsible for technical issues, downtime, or failures arising from such platforms.
Any applicable third-party terms will also apply to the client.

Project Timelines

Timelines provided are estimates. Delays may occur due to:

Changes in scope
Client delays
Technical issues or third-party failures
Additional revisions beyond agreed scope

Revisions & Scope Changes

Projects and subscriptions include a limited number of revisions depending on the package.
Additional revisions or changes after approval may incur additional costs.
Major scope changes require a revised quotation.

Termination of Services

Studio Bauno reserves the right to terminate services if:

Payments are not completed
The client engages in abusive, unethical, or uncooperative behavior
These Terms are violated

Clients may terminate services as per the cancellation rules in our Cancellation & Refund Policy.

Governing Law

These Terms are governed by and interpreted in accordance with the laws of India. Disputes will be handled in the courts located in Mumbai, Maharashtra.
